End-User License Agreement

1. License Grant

Aimpact, a sole proprietorship based in British Columbia, Canada doing business as Catermi ("Company"), grants you a limited, non-exclusive, non-transferable, revocable license to use the Catermi platform and services ("Software") solely for your internal business purposes as a catering management system. This license does not include the right to:

• Sublicense, sell, rent, lease, transfer, assign, or otherwise dispose of the Software
• Modify, translate, adapt, or create derivative works based on the Software
• Reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code
• Remove or alter any proprietary notices, labels, or marks on the Software
• Use the Software for any unlawful purpose or in violation of applicable laws

2. Restrictions

You agree not to:

• Use the Software to provide services to third parties without explicit written permission
• Access or use the Software in any manner that could damage, disable, or impair the Software
• Attempt to gain unauthorized access to any portion of the Software
• Use the Software in any manner that violates applicable laws or regulations
• Share your account credentials with unauthorized individuals

3. QuickBooks Integration

The Catermi platform operated by Aimpact integrates with QuickBooks to fetch invoices and financial data. By using this feature, you authorize Aimpact to:

• Connect to your QuickBooks account using your credentials
• Retrieve invoice data and financial information
• Display this data within the Catermi platform for catering management purposes
• Store encrypted references to your QuickBooks account

You are responsible for maintaining the security of your QuickBooks credentials and can revoke Catermi's access at any time through your QuickBooks account settings.

4. Intellectual Property Rights

The Software, including all code, features, functionality, and documentation, is the exclusive property of Aimpact, operating under the Catermi brand. All intellectual property rights, including patents, copyrights, trademarks, and trade secrets, are retained by Aimpact. Your use of the Software does not grant you any ownership rights.

5. AI and Automation Features

The Catermi platform includes artificial intelligence and automation features designed to optimize catering operations. These features:

• Are provided on an "as-is" basis without warranties of accuracy
• May require human review and verification
• Are continuously improved and may change without notice
• Process your data to provide recommendations and insights

6. Data and Privacy

Your use of the Software is subject to our Privacy Policy. You retain ownership of your data but grant Aimpact a license to use, process, and store your data as necessary to provide the Catermi Software and services. For detailed information about data handling, please review our Privacy Policy.

7. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. Aimpact does not warrant that the Software will be uninterrupted, error-free, or free from viruses or other harmful components.

8. Limitation of Liability

IN NO EVENT SHALL AIMPACT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Termination

This license is effective until terminated. Aimpact may terminate this license immediately if you violate any terms of this agreement. Upon termination, you must cease all use of the Software and delete all copies in your possession.

10. Governing Law

This agreement shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions.

11. Entire Agreement

This End-User License Agreement constitutes the entire agreement between you and Catermi regarding the Software and supersedes all prior negotiations, representations, and agreements, whether written or oral.
